Description of Duties:

Legal Volunteer for Bylaws and CRA (Canada Revenue Agency) compliance for a nonprofit organization, your duties may include:


1. Reviewing and Drafting Bylaws: Assist in reviewing and updating the organization's bylaws to ensure compliance with relevant laws and regulations. This may involve drafting new bylaws or amendments to existing ones.


2. Researching Legal Requirements: Conduct research on legal requirements related to nonprofit governance, including CRA regulations for charitable organizations. Stay updated on changes in laws and regulations that may impact the organization's operations.


3. Providing Legal Advice: Offer guidance and legal advice to the organization's leadership and board members on matters related to bylaws, governance structures, and compliance with CRA regulations.


4. Preparing Legal Documents: Prepare legal documents such as resolutions, minutes of meetings, and official correspondence related to bylaws, governance, and compliance matters.


5. Ensuring Compliance with CRA Regulations: Ensure that the organization complies with CRA regulations for charitable status, including maintaining accurate records, filing required reports and returns, and adhering to fundraising guidelines.


6. *Training and Education*: Provide training and educational sessions for board members, staff, and volunteers on legal and governance matters, including their roles and responsibilities under the organization's bylaws and CRA regulations.


7. Risk Management: Identify legal risks and potential compliance issues facing the organization and develop strategies to mitigate risks and ensure compliance with applicable laws and regulations.


8. Collaboration with External Legal Counsel: Coordinate with external legal counsel as needed for complex legal matters, filings with government agencies, or representation in legal proceedings.


9. Monitoring Legal Developments: Stay informed about legal developments, precedents, and best practices in nonprofit governance and CRA compliance, and make recommendations for updates or changes to organizational policies and procedures.


10. Maintaining Confidentiality: Handle sensitive legal information with discretion and maintain confidentiality in all legal matters involving the organization.


11. Supporting Board Governance: Assist the board of directors in fulfilling its governance responsibilities, including facilitating board meetings, preparing agendas, and ensuring compliance with bylaws and legal requirements.
