Description of Duties:

Not-for-profit board members are legally obligated to uphold duties of care, loyalty, and obedience, while also serving The John Howard Society of Brandon through strategic planning, selecting and overseeing the Executive Director, ensuring financial health via budget approval and oversight and upholding the mission. Key responsibilities include setting the organization's mission and vision, advocating for the organization in the community, and participating in fundraising efforts to ensure long-term sustainability and impact.


Fiduciary Duties




  • Duty of Care:


    Board members must act with the diligence and attention that a reasonably prudent person would exercise in a similar position to protect the organization's assets and reputation. This includes consistent meeting attendance (monthly on the third Monday of the month) and active engagement in committees and duties.



  • Duty of Loyalty:


    Board members must act in the organization's best interests and put its needs above their own personal interests. This involves avoiding conflicts of interest and disclosing any potential conflicts when they arise.



  • Duty of Obedience:


    Board members must ensure the organization operates lawfully and in accordance with its mission and bylaws. This includes ensuring compliance with federal and state laws and adhering to organizational policies.



Strategic and Mission-Oriented Responsibilities




  • Vision, Mission, and Planning:


    Board members establish and clarify the organization's mission, vision, and purpose, then develop strategic plans to achieve these goals.



  • Executive Director Selection and Oversight:


    The board is responsible for appointing, supporting, and reviewing the performance of the Executive Director.



  • Advocacy and Community Engagement:


    Board members act as ambassadors, building relationships with the community, advocating for the organization, and promoting its services to the public.



Financial and Legal Oversight




  • Financial Health:


    Board members approve budgets, oversee financial reporting, and ensure sound internal controls are in place to manage funds wisely.



  • Policy Governance:


    The board creates, reviews, and votes on essential organizational policies, including bylaws, code of ethics, and HR policies.



  • Legal Compliance:


    Board members ensure the organization is operating legally, complying with relevant laws, and meeting legal requirements like charitable filings and audits.



Operational Responsibilities




  • Fundraising:


    Board members actively participate in fundraising efforts and events to secure donations and ensure the organization's financial sustainability.



  • Board Development:


    The board is responsible for recruiting and developing skills among its members to meet changing organizational needs.



  • Risk Management:


    Boards must identify, assess, and balance financial and reputational risks against the opportunities for the organization to achieve its mission.

2 hours a month for Board meetings and other sub committee meeting as it arises. In person is preferred and supper is provided, remote attendance is possible. Meetings currently occur on the third Monday of the month 5:30pm- 7:30pm. July meeting is on call.
