Roles and Responsibilities of a Non-Profit Board (mar 4/26)

December 10, 2024
04:00 PM to 07:00 PM

Board members of an incorporated, non-profit organization are legally responsible for the governance of the organization and are expected to develop, implement and monitor policies that will allow the organization to carry out its mission.

Beyond their legal duties, board members are also important resources - they contribute to the culture, effectiveness, and strategic focus, as well as act as ambassadors and advocates for the work being done by the organization. While a board may appoint staff and/or committees to carry out the work related to its policies, programs and services, the board is ultimately responsible for meeting outcomes.

In this workshop, participants will learn the best practices of board governance, the legal duties and responsibilities of board directors, and risk management that will ensure that the organization has the right resources to advance its mission.

Topics Covered Include:

  • Key roles and responsibilities of the board and its members
  • Common board governance structures and which one best fits your organization
  • How committees can support the work of the board
  • Understanding bylaws, policies and procedures
  • Identifying the legal duties and liabilities of the board

Who should attend?

This workshop was designed to assist individuals with little (or no) board governance experience, those who would like to refresh their knowledge, or those who are working with boards that have gotten a little off track.

Jackie Wild | Founder, Tito Boy Restaurant & Founder, Delight Digital

Jackie Wild is a seasoned communications and marketing professional with over a decade of experience managing successful community-focused initiatives within the public, private and non-profit sectors. Raised in Winnipeg's vibrant inner city, she understands the pressing socioeconomic issues affecting our most historically and intentionally excluded populations. Throughout her professional career, she has witnessed the incredible impact that socially-minded businesses can create through authentic and thoughtful strategic partnerships.

Passionate about doing work that matters, Jackie spent five years at TELUS supporting hundreds of local, grassroots charities creating opportunities for conversation, collaboration and shared learning. Strategically focused on systemic change, she was instrumental in bringing social purpose programs to TELUS Manitoba including the engagement of local leaders in granting decisions. Through this program, more than 200,000 youth and 167 projects have been supported with $2M in funding. Additionally, she enabled the allocation of $2M in national emergency relief funding, which included a sizeable grant for the Health Sciences Centre helping families struggling through COVID-19.

In 2022, Jackie pivoted careers and pursued her entrepreneurial dreams by launching Tito Boy Restaurant, Winnipeg's first south-end Philippine eatery offering traditional and fusion culinary creations. The business, named after her father Agustin "Tito Boy" Doming, represents the intersectionality of different generations and what it means to be a Philippine-Canadian in the modern era.

A champion of community building, Jackie serves as president of the Manitoba Filipino Business Council, leading their vision to serve as the prime community resource hub for Philippine business people and professionals. Jackie also volunteers as board secretary with the Manitoba Museum, small business advisory council co-chair with The Winnipeg Chamber, interview chair with the Loran Scholars Foundation and board member with the Health Sciences Centre Foundation.

In 2020, Jackie was named one of CBC Manitoba's Future 40 recipients and featured in the Filipino Journal's 20 Filipinos to Watch list.
