Description of Duties:

Key Responsibilities




  • Record and distribute accurate minutes of all board meetings and AGM.



  • Prepare and circulate meeting agendas in collaboration with the President and Vice President.



  • Maintain up-to-date records of board documents, policies, and governance materials.



  • Track board member terms and attendance records.



  • Ensure compliance with HSDE Canada's by-laws and reporting requirements.



  • Manage board correspondence and official filings as needed.



  • Support the onboarding of new board members by providing necessary documentation.



  • Maintain confidentiality of all board discussions and documents.



  • Assist in organizing board meetings and AGM logistics.



  • Serve as a communication bridge between the board and organizational administration when required.


   
Skills Required:

Education:




  • Post-secondary education in administration, nonprofit management, social sciences, or a related field is an asset.



  • Relevant training in governance, record management, or board operations is an advantage.

  • Excellent written and verbal communication skills



  • Strong attention to detail and accuracy in documentation



  • Ability to organize and manage records efficiently



  • Proficiency in using Microsoft Office and online document management systems



  • Understanding of nonprofit governance and board procedures



  • Ability to prepare agendas and record accurate meeting minutes



  • Strong organizational and time management skills



  • Ability to maintain confidentiality and demonstrate integrity



  • Comfortable working collaboratively within a diverse team



  • Bilingualism (English and French) is an asset



  • Experience:



  • At least 1-3 years of experience serving on a nonprofit board or in a leadership volunteer role.



  • 1-3 years of experience in administrative support, record keeping, or minute-taking.



  • Familiarity with nonprofit governance structures and board procedures.



  • Experience working with diverse teams and maintaining confidentiality.



  • Proficiency in Microsoft Office, Google Workspace, and online document management tools.

Time Commitment:
Flexible Hours



  • Approximately 4-6 hours per month, including attending and preparing for board meetings.



  • Participation in quarterly board meetings (virtual or in-person).



  • Time allocated for minute-taking, document management, and follow-up tasks.



  • Occasional participation in committee work and special meetings as required.



  • Involvement in annual general meetings and strategic planning sessions.
