Description of Duties:

Key Responsibilities




  • Board Members play a vital role in the governance, oversight, and strategic direction of the organization. They provide leadership, ensure accountability, and support the mission through active engagement in decision-making, resource development, and community representation.




    Key Duties & Responsibilities



  • Governance & Oversight





    • Ensure the organization operates in alignment with its mission, vision, and values.



    • Participate in developing and approving policies, strategic plans, and organizational priorities.



    • Monitor compliance with legal, regulatory, and ethical standards.




  • Financial Stewardship





    • Review and approve annual budgets, financial statements, and audit reports.



    • Safeguard organizational assets and ensure responsible use of resources.



    • Support fundraising, sponsorship, and grant-seeking efforts by leveraging networks and expertise.




  • Strategic Leadership





    • Contribute to long-term strategic planning and evaluation of programs.



    • Provide guidance and insight to strengthen organizational impact and sustainability.



    • Act as ambassadors for the organization within the community.




  • Board Engagement





    • Attend and actively participate in board meetings (typically 3-4 times per year, in person or virtually).



    • Serve on committees or task forces as needed.



    • Review meeting materials in advance and contribute to informed decision-making.




  • Support & Advocacy





    • Promote the organization's mission to the broader community, stakeholders, and potential funders.



    • Provide mentorship, expertise, and professional networks to strengthen organizational capacity.



    • Uphold the highest standards of integrity, accountability, and confidentiality.

Time Commitment:
Flexible Hours



  • Approximately 3-4 hours per year are dedicated to attending and preparing for board meetings.



  • Participation in quarterly board meetings (virtual or in-person).



  • Time allocated for minute-taking, document management, and follow-up tasks.



  • Occasional participation in committee work and special meetings as required.



  • Involvement in annual general meetings and strategic planning sessions.
