Roles & Responsibilities of a Non-Profit Board

Non-profit organizations continue to be held to high standards by clients, the community, government, and other stakeholders. This full-day workshop will share best practices to strengthen your board's governance. You will learn about the responsibilities and legal duties of non-profit boards, legal liability and risk management, plus techniques for developing your board members, running meetings, and board evaluation to create a solid foundation for future sustainability.

Learning Objectives:

Describe the key responsibilities of boards and board members

Explain the roles of the board member and each member of the Executive

Identify the common board governance structures and which structure best fits your organization

Identify the role of committees to conduct the work of the board

Understand how bylaws, policies and procedures are used in board governance

Identify the risks undertaken by boards and best practices and tools to mitigate risk

Describe the board development cycle

Explore how to apply the board development components of recruitment, elections, support & recognition, orientation & training and succession planning

Identify techniques to hold purposeful and productive board meetings, including chairing techniques

Evaluate your board and identify benchmarks required to hold a meaningful board evaluation


Jackie Hunt is a training consultant, community leader and Volunteer Manitoba's Executive Director. She is also the co-founder of The Kindred Project, a non-profit organization that provides feminine hygiene products for over 300 women in need each and every month.

For the past seven years, Jackie was an elected official in the RM of Ritchot. She began her involvement with the RM as a counselor and then as the mayor. She believes in the power of strong communities and service to others, and she has built a strong reputation working with government, community leaders, organization and individuals who share those same values.

Jackie has over 20 years of experience in adult education, providing training for individuals and organizations on leadership, communication, emotional intelligence and goal setting. She has also delivered training on board governance and non-for-profit organizational development. She is an experienced public speaker and has delivered keynotes and plenary sessions at conferences across the province.

In her current role as Executive Director, Jackie combines her extensive experience in community engagement and her strong leadership style to position Volunteer Manitoba as the leader and catalyst for engaging all Manitobans.

Tracy Douglass has been involved in the non-profit sector as a volunteer, employee and consultant. She has sat on boards, participated on committees and volunteered her time to help deliver programs and services within the sector.

She has a Bachelor of Commerce from the University of Manitoba and is certified in adult education and distance learning development. She also has over 20 years in the educational field, coordinating, developing and delivering training to both small and large audiences.

Recently, Tracy was a Community Relations Specialist at Manitoba Public Insurance, in the role of Provincial Coordinator for the volunteer-based Citizens on Patrol Program (COPP).
